Terms and conditions of participation – cplace Partner Insights 2024
collaboration Factory AG, Arnulfstr. 34, 80335 Munich (below referred to as “COLLABORATION FACTORY”) organizes the „cplace Partner Insights“ (hereinafter “EVENT”) which will take place on May 16, 2024.
The EVENT is an on-site event that aims to bring together partners of the COLLABORATION FACTORY for professional exchange and further education. The EVENT is aimed exclusively at companies and not at consumers.
These terms and conditions of participation lay down the rights and obligations as participants in the EVENT. Participants will be informed about these Terms and Conditions of Participation when registering their participation in the EVENT. By submitting the binding registration participants agree to these Terms and Conditions.
1. Registration and participation
1.1 All persons of legal age who have registered for the EVENT via the COLLABORATION FACTORY websites and whose registration has been accepted by COLLABORATION FACTORY by e-mail (hereinafter “Participants”) are entitled to participate in the EVENT.
1.2 Participants will timely receive all relevant information for on-site participation via e-mail communication. On the day of the event, Participants will sign in on-site at the event location with the COLLABORATION FACTORY.
1.3 After the EVENT, the recordings of the presentations will be available online for the Participants . Furthermore, Participants may download copies of handouts and PDF documents from the web page providing access to the recordings.
1.4 The EVENT will be held in accordance with the COVID Regulations in force on the day of the event.
2. Rules of conduct
2.1 In addition to these Terms and Conditions of Participation, Participants will comply with all relevant laws and other regulations within the scope of the EVENT.
2.2 Participants themselves are responsible for ensuring that their participation in the EVENT does not violate existing obligations to the company to which they belong. This applies in particular to confidentiality obligations.
2.3 COLLABORATION FACTORY, its employees, its legal representatives and, if applicable, its vicarious agents exercise domiciliary rights within the framework of the EVENT. Furthermore, COLLABORATION FACTORY reserves the right to exclude Participants from the event in the event of a gross violation of the rules of conduct (also retrospectively).
3. Image, audio and film recordings
3.1 COLLABORATION FACTORY and its representatives may create, process and distribute image, film and audio recordings during the event. By participating in the event, the Participants declare their consent that the image, audio and film recordings made in connection with the event may be used for marketing purposes by COLLABORATION FACTORY without entitlement to remuneration and may be disseminated in its marketing channels. The legal basis for this is GDPR, Art 6 (1) (f) . Our legitimate interest is the promotion and media coverage of the event.
4. Rights of use
4.1 Participants remain the (co-)owner of the intellectual property rights to the ideas and content developed and presented by you within the framework of the EVENT (hereinafter “Contributions”).
4.2 Participants grant COLLABORATION FACTORY an exclusive, transferable, global, indefinite right of use of the Contributions from the time they are conceived of, covering all known and future forms of use.
4.3 Notwithstanding any existing, registered industrial property rights to the contrary (such as patents), COLLABORATION FACTORY shall have an unlimited right to utilize any know-how it obtains during cplace Day, in particular the concepts, procedures and methods underlying the Contributions.
4.4 Participants are prohibited from using any logos or trademarks of COLLABORATION FACTORY or sponsors.
5. Confidentiality and privacy protection
5.1 Participants agree to treat all documents and information they receive from COLLABORATION FACTORY in connection with the EVENT as confidential, protect them against unauthorized access by third parties, and use them exclusively for the purposes of the EVENT.
6.1 COLLABORATION FACTORY will not be liable for any Contributions created by Participants in connection with cplace Day. Therefore, any warranty or liability will be excluded.
6.2 COLLABORATION FACTORY is liable without limitation for damages caused by gross negligence or intent on the part of COLLABORATION FACTORY, its legal representatives, agents or vicarious agents. COLLABORATION FACTORY is also liable without limitation for damages resulting from culpable injury to life, body or health.
6.3 COLLABORATION FACTORY’s liability for all cases of simple negligence shall be excluded.
7. Miscellaneous provisions
7.1 Any contractual terms agreed between Participants (or Participants’ company) and COLLABORATION FACTORY, or in the absence of such terms, the General Terms and Conditions of COLLABORATION FACTORY, shall apply in addition to these Terms and Conditions of Participation, but have a lower priority.
7.2 The legal relationship between the Parties hereto shall be governed exclusively by German law excluding the United Nations Convention on Contracts for the International Sale of Goods.
7.3 The exclusive place of jurisdiction shall be Munich, provided that such a stipulation between the Parties is lawful.
